Terms of Service

These Terms of Service ("Terms") govern your use of charlaenglish.com and the ¡Charla! English lessons, practice tools, and AI Coach (the "Service"), operated by ¡Charla! English ("we", "us"). By creating an account or using the Service, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Service.

1. Eligibility and Accounts

You must be at least 13 years old to use the Service, and at least 18 (or the age of majority in your jurisdiction) to purchase a subscription.
You are responsible for the accuracy of your account information, for keeping your password confidential, and for all activity under your account. Notify us promptly of any unauthorized use.
One account per person. Accounts are personal and may not be shared, sold, or transferred.

2. Free and Paid Plans

Free plan. Includes limited lessons and a limited number of AI Coach messages per day. We may change what is included in the free plan at any time.
Premium subscriptions. Paid plans (monthly or annual) unlock all lessons and expanded AI Coach limits. Prices are shown at checkout and may change with notice; changes apply at your next renewal.
Free trial. New subscribers may be offered a 7-day free trial. A valid payment method is required, and your subscription begins and your payment method is charged automatically when the trial ends unless you cancel before the trial ends. Trials are limited to one per customer.
Billing and renewal. Subscriptions renew automatically at the end of each billing period until canceled. Payments are processed by Stripe.
Cancellation. You may cancel anytime via the billing portal in Account settings. Cancellation stops future renewals; you keep Premium access through the end of the period already paid.
Refunds. Except where required by law, payments are non-refundable and we do not provide credits for partial periods. If you believe you were charged in error, contact us and we will review in good faith.
Taxes. Prices may not include applicable taxes, which will be added where required.

3. AI Coach

The AI Coach generates responses using artificial intelligence. Responses may occasionally be inaccurate, incomplete, or inappropriate despite our safeguards. Use judgment and do not rely on the AI Coach for professional, legal, medical, financial, or emergency advice.
Message limits apply per plan and may be adjusted to protect the Service from abuse.
Do not attempt to use the AI Coach for purposes unrelated to language learning, to extract underlying prompts or systems, or to generate harmful, unlawful, or infringing content.

4. Acceptable Use

You agree not to:

Break the law, infringe others' rights, or attempt to harm the Service or other users
Probe, scan, or test the vulnerability of the Service, bypass authentication or usage limits, or access data not intended for you
Scrape, copy, resell, or redistribute lessons or other content from the Service
Use bots, automation, or multiple accounts to abuse free limits, trials, or promotions
Reverse engineer or create derivative works of the Service except where the law permits

5. Our Content and Your Content

The Service, including lessons, text, audio, design, and software, is owned by us or our licensors and protected by intellectual property laws. We grant you a personal, non-exclusive, non-transferable, revocable license to use the Service for your own learning.
You retain ownership of the content you submit (such as AI Coach messages). You grant us a license to process that content as needed to operate and improve the Service, consistent with our Privacy Policy.

6. Termination

You may stop using the Service or delete your account at any time in Account settings. We may suspend or terminate accounts that violate these Terms, abuse the Service, or create risk for us or other users. Upon termination, your license to use the Service ends; Sections 5 and 7 through 10 survive.

7. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT ANY PARTICULAR LEARNING OUTCOME WILL BE ACHIEVED.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM OR RELATED TO YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE 12 MONTHS BEFORE THE CLAIM AROSE OR (B) FIFTY DOLLARS ($50). Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.

9. Indemnification

You agree to indemnify and hold us harmless from claims, damages, and expenses (including reasonable attorneys' fees) arising from your violation of these Terms or misuse of the Service.

10. Governing Law and Disputes

These Terms are governed by the laws of the State of Ohio, without regard to conflict-of-law rules. Disputes will be resolved in the state or federal courts located in Ohio, and you consent to their jurisdiction. Either party may seek relief in small claims court for qualifying disputes. You waive any right to participate in a class action to the extent permitted by law.

11. Changes to the Service or Terms

We may modify the Service or these Terms. If we make material changes to the Terms, we will post the updated version here and update the effective date, and may notify you by email or in the app. Continued use after changes take effect constitutes acceptance.
